This Refund & Cancellation Policy governs all engagements with Viprush Technologies (OPC) Pvt Ltd — including custom software development projects, Viprush Techlabs training programmes, and any other services offered by the Company. Please read this Policy carefully before making any payment or entering into an engagement.

By making a payment to the Company or confirming an engagement, you agree to the terms of this Policy. This Policy forms part of our Terms & Conditions and should be read alongside them.


1. General Principles

Viprush Technologies delivers custom, project-specific professional services. Because every engagement involves dedicated planning, resource allocation, and commencement of work that cannot be reversed, our refund positions reflect the nature of professional services — not product-based retail transactions.

We are committed to fair dealing. If an issue arises during an engagement, we strongly encourage you to raise it with us directly before seeking a cancellation. Most concerns can be resolved through open communication, scope clarification, or rework.


2. Custom Software Development & Professional Services

This section applies to all custom software development, business process automation, workflow management, data systems, monitoring dashboards, AI/ML integration, desktop applications, API development, and any other bespoke professional service delivered under a Project Agreement or Statement of Work.

2.1 Advance / Booking Payment

An advance payment is collected prior to the commencement of any project. This advance covers initial discovery, planning, resource allocation, and early-stage design or architecture work.

The advance payment is non-refundable in all cases, except where the Company initiates the cancellation of the project (see Section 2.4). This applies regardless of the reason for the Client’s cancellation, including change of business priorities, budget constraints, or change of decision-maker.

2.2 Milestone Payments

Payments made against completed and delivered milestones are non-refundable. Work delivered and accepted — whether formally or by default under the acceptance clause in our Terms & Conditions — is considered complete and billable.

If a milestone deliverable has a documented defect that is directly attributable to the Company’s work, the Company will correct it at no additional cost during the applicable defect correction period, as stated in the Project Agreement. This correction obligation is the Company’s sole remedy obligation for milestone deliverables; it does not entitle the Client to a refund of milestone payments.

2.3 Cancellation by the Client

The Client may cancel an engagement at any time by providing written notice to the Company. Upon cancellation:

  • The advance payment is non-refundable;
  • Any milestone payments already made are non-refundable;
  • The Client is liable to pay for all work completed between the last billed milestone and the date of the cancellation notice, calculated on a pro-rata basis at the rate agreed in the Project Agreement;
  • Any third-party costs already incurred by the Company on the Client’s behalf (e.g. licensed tools, hosting, external APIs) are payable in full by the Client;
  • Upon receipt of all outstanding dues, the Company will deliver all completed work-in-progress Deliverables to the Client in whatever state they exist at the time of cancellation.

2.4 Cancellation by the Company

The Company may cancel a project in exceptional circumstances, including — but not limited to — where the Client has provided materially false information, where project requirements are found to be technically unfeasible as originally scoped, or where continued engagement would violate applicable law.

If the Company initiates the cancellation:

  • The advance payment will be refunded in full within 14 working days;
  • Any milestone payments for work not yet delivered will be refunded in full within 14 working days;
  • Milestone payments for work already delivered and accepted are non-refundable;
  • The Company will deliver all completed Deliverables up to the point of cancellation.

2.5 Project Suspension

If a Client requests a suspension of work for more than 30 consecutive days, the Company reserves the right to treat this as a cancellation and apply the terms of Section 2.3, unless a written suspension agreement has been signed by both parties prior to the suspension period commencing.


3. Viprush Techlabs — Training Programmes

This section applies to all Viprush Techlabs programmes, including corporate training, academic workshops, faculty development programmes, and open webinars — whether conducted online or in person.

3.1 Registration Fees

All Techlabs programme registration fees are non-refundable once payment is confirmed. This is because programme capacity is limited, and confirmed registrations may result in other participants being turned away.

3.2 Rescheduling

In lieu of a refund, registered participants may request a reschedule to a future edition of the same or equivalent programme, subject to the following conditions:

  • The reschedule request must be submitted in writing to [email protected] at least 48 hours before the programme start time;
  • Rescheduling is permitted once per registration. A second reschedule will not be accommodated and the registration will lapse without refund;
  • The reschedule is subject to availability in a future programme edition. The Company does not guarantee a specific future date;
  • If no equivalent programme is scheduled within 6 months of the reschedule request, the Company will offer either a credit note or, at its discretion, a refund of the registration fee.

3.3 No-Show

Participants who do not attend a programme without submitting a reschedule request within the required window will forfeit their registration fee in full. No reschedule or credit will be offered for no-shows.

3.4 Cancellation by the Company

If the Company cancels a scheduled programme for any reason (including insufficient enrolment, speaker unavailability, or force majeure), registered participants will be offered either:

  • A full refund of the registration fee, processed within 14 working days; or
  • A free reschedule to the next available edition of the same programme — at the participant’s choice.

3.5 Corporate / Institutional Programmes

For programmes conducted exclusively for a corporate client or academic institution under a separate agreement, the cancellation and refund terms stated in that agreement shall prevail. In the absence of such terms, the provisions of Section 2.3 and 2.4 (project cancellation) shall apply.


4. WED Audit

The Workflow Efficiency Diagnostics (WED) Audit is offered at no charge to qualifying businesses. As there is no payment involved, no refund or cancellation clause applies to the WED Audit itself.

If you have applied for a WED Audit and wish to withdraw your application before the audit session commences, simply notify us in writing at [email protected]. There is no penalty for withdrawal.


5. Mode of Refund

Where a refund is determined to be applicable under this Policy, it will be processed as follows:

  • Refunds will be issued to the same payment instrument used for the original payment (bank transfer, UPI, or other method);
  • Refunds will be processed within 14 working days of the refund being confirmed in writing by the Company;
  • Any transaction fees, payment gateway charges, or currency conversion losses incurred at the time of original payment are non-recoverable and will be deducted from the refund amount where applicable;
  • Refunds will not be issued in cash under any circumstances.

6. Disputes & Escalation

If you believe a refund is owed to you and it has not been processed, or if you disagree with a refund decision made by the Company, please follow this process:

  • Step 1 — Raise a written complaint to [email protected], clearly stating the nature of the dispute, the amount in question, and supporting documentation (payment receipts, project communications, etc.);
  • Step 2 — The Company will acknowledge your complaint within 3 working days and aim to resolve it within 15 working days;
  • Step 3 — If unresolved, the dispute shall be handled in accordance with the dispute resolution clause in our Terms & Conditions (negotiation, followed by arbitration in Nagpur, Maharashtra).

7. Force Majeure

Neither party shall be held liable for delays or non-performance caused by events beyond their reasonable control, including natural disasters, government-imposed restrictions, pandemics, prolonged power or internet outages, or other force majeure events. In such cases, the Company will communicate the situation promptly and work with the Client to agree a revised plan. Force majeure does not automatically entitle either party to a refund; terms will be agreed on a case-by-case basis in good faith.


8. Modifications to This Policy

The Company reserves the right to update this Refund & Cancellation Policy at any time. Changes will be effective upon publication on this page with an updated “Last Updated” date. The version of this Policy in effect at the time of your payment or engagement confirmation will govern your specific transaction.

All refund and cancellation requests must be submitted in writing. Verbal requests — including those made over phone or WhatsApp — will not be processed until confirmed in writing.

This Policy is governed by the laws of India. All disputes are subject to the jurisdiction of courts in Nagpur, Maharashtra.
